African Alliance Insurance Plc secured shareholder approval at its Extraordinary General Meeting on September 23, 2026 to raise up to ₦12 billion in fresh capital. The unanimous vote authorised the board to use private placement, rights issue, public offer, convertible subordinated debt notes, asset sales or other permissible structures to meet recapitalisation requirements under the Nigerian Insurance Industry Reform Act (NIIRA). Shareholders also approved a specific zero-coupon convertible subordinated debt note, letting the board set conversion price, terms and triggers.

The move follows NAICOM's return of operational control to a shareholder-nominated board earlier this year after a regulatory intervention that began in October 2024 over liquidity challenges, unsettled claims and regulatory breaches. The capital raise is expected to strengthen the insurer's balance sheet, improve its ability to pay policyholder claims and support sustainable growth in Nigeria's evolving insurance market.

With the board now empowered to appoint advisers, execute transaction documents and file with CAC, NAICOM and SEC without further shareholder votes, the company can act quickly on investor interest. Will this ₦12 billion boost restore confidence among policyholders and investors, or will market conditions dictate a slower, more diluted rollout?
