Cornerstone Insurance Plc shareholders approved a restructuring scheme on June 26, 2026 that will split the company into three entities: Cornerstone Holdings Plc (holding company), FIN Insurance Company Limited (non-life insurance), and Cornerstone Life Assurance Limited (life insurance). The move complies with Nigeria's Insurance Industry Reform Act 2025.

Under the approved plan, Cornerstone's non-life insurance assets and liabilities transfer to FIN Insurance, while life insurance operations go to Cornerstone Life Assurance. Cornerstone Holdings will oversee both subsidiaries as a non-operating holding company. The restructuring gives Cornerstone a 96.68% stake in FIN Insurance and requires court sanction to proceed.

This regulatory-driven separation aims to strengthen Cornerstone's market position by creating focused subsidiaries.
