MTN secures shareholder vote to acquire remaining IHS shares

MTN Group has secured shareholder approval to acquire the remaining shares in IHS Holding Limited, clearing a major step toward full ownership of the tower company. Shareholders voted in favor at an Extraordinary General Meeting on August 4 2026, meeting the required two-thirds majority for the special resolution. The approval allows MTN to proceed with its merger structure: a temporary Sub-Merger Company created by MTN will merge into IHS and cease to exist, leaving IHS as the surviving legal entity that will become a wholly-owned subsidiary of MTN. Once the deal closes, IHS will be delisted from the New York Stock Exchange, ending its public trading status, though it will retain its current corporate registration, contracts, licences and permits unless MTN later decides to restructure or rebrand the business.

MTN said the vote is a key step toward completing the transaction, noting that telecommunications towers remain central to its Ambition 2030 strategy and that full ownership of IHS will strengthen the group's strategic and financial position as demand for digital infrastructure and artificial intelligence grows across Africa. The deal still needs the necessary regulatory approvals, which are ongoing. Because shareholders approved the merger-adjournment resolution was not needed, that second proposal was rendered unnecessary.

Completion of the deal will give MTN full control of IHS's tower assets, consolidating its position in the tower infrastructure business as it expands its focus on digital infrastructure under its broader three-platform strategy.
