SEC's Oct 15 sustainability plan deadline confuses Nigerian listed firms over FRC roadmap conflict

SEC's circular dated September 23 requires all Nigerian public companies and significant public interest capital market operators to submit an 8-point implementation plan for IFRS S1 & S2 sustainability reporting by October 15, 2026. The plan must cover governance, gap assessment, roadmap, data systems, controls, training, expected reporting year, and challenges.

This has triggered panic among listed entities because the SEC's demand for all documents at once contradicts the Financial Reporting Council's phased roadmap. Under FRC's approach, voluntary adopters (for periods 2024-2027) submit 17 implementation documents spread over 12 months, while mandatory adopters (starting 2028) begin submissions in 2027. Companies now question whether they must resubmit documents already given to FRC and if SEC's October deadline applies to them.

Banks are particularly worried that missing the October 15 deadline could trigger SEC sanctions, which would conflict with the FRC roadmap's promise of no regulatory sanctions during the voluntary adoption phase. This raises fears that opting for mandatory adoption (waiting until 2028) may no longer be an option, creating frustration over compliance pathways.

What clarification do companies need most: whether the SEC's 8 required documents overlap with FRC's 17, if submitting to SEC fulfills FRC obligations, and whether the October deadline applies uniformly regardless of their chosen adoption timeline under the FRC roadmap?
