Universal Insurance secures N7.128bn FPNG investment to meet NAICOM capital rule

Universal Insurance Plc has entered a binding investment agreement with FPNG Co-Nvest Limited for a N7.128 billion equity investment via private placement, as disclosed in a Nigerian Exchange filing on Friday, August 14, 2026. The deal will give FPNG a 50.1% stake, making it the majority shareholder once NAICOM and other regulators approve the transaction.

The capital injection aims to lift Universal Insurance above the National Insurance Commission's new minimum capital requirement introduced under the Nigerian Insurance Industry Reform Act 2025, after the insurer was not among the 50 firms verified as compliant by the July 31, 2026 deadline. The industry-wide recapitalisation drive has so far generated about N720 billion in fresh capital, boosting insurers’ ability to absorb larger risks and support economic activity.

Universal Insurance says all required board and shareholder approvals have been secured, and it is working with NAICOM on final steps. FPNG, a strategic investment holding company, previously acquired a 5% stake in NGX Group Plc in February 2026 and a 7.01% stake in Thomas Wyatt Nigeria Plc in October 2025. Will this fresh capital enable Universal to expand its product offerings, improve claims-paying ability, and compete more effectively in Nigeria's insurance market?
